what happened

BlackStar Orbital Technologies, developer of the reusable SpaceDrone spacecraft, agreed to go public through a merger with special purpose acquisition company Pono Capital Four at a $380 million valuation, per Via Satellite. SpaceDrone is designed to launch on existing rockets as a payload, operate in low Earth orbit, then return its payload to Earth and land on a runway for reuse. BlackStar has received $1.9 million in U.S. government R&D funding and reports $120 million in commercial letters of intent from customers ranging from in-orbit servicing to in-space compute. Pono Capital Four, led by Dustin Shindo, is targeting a first-quarter 2027 close.

why it matters

A $380 million SPAC valuation gives BlackStar public-market capital to build toward its recovery-and-reuse pitch before SpaceDrone has flown, a bet that a reusable return-to-Earth platform can undercut expendable smallsat missions on cost. If the deal closes, it becomes a rare public pure-play in reusable orbital-return vehicles, a category most competitors are still funding privately.
