Iridium shareholders approve Rocket Lab acquisition
Iridium stockholders voted about 99.6% in favor to adopt the merger agreement with Rocket Lab, per a joint SEC filing.
what happened
Iridium said in a Sept. 24 SEC filing that stockholders adopted the merger agreement with Rocket Lab at a special meeting, with about 99.6% of votes cast in favor, representing 81.0% of outstanding shares entitled to vote. A separate advisory vote on golden-parachute compensation also passed. Under the deal terms, Iridium shareholders will receive $27.00 in cash plus Rocket Lab stock per share, based on an exchange ratio tied to Rocket Lab's 10-day volume-weighted average price, for a total notional value of $54.00 per share stated in the companies' joint release.
why it matters
The vote clears one of the last major conditions for Rocket Lab's acquisition of Iridium's global mobile satellite network, first announced in June. The deal remains subject to remaining regulatory approvals and is expected to close in mid-2027; a completed acquisition would combine Iridium's connectivity constellation with Rocket Lab's launch and spacecraft business under one roof.
