- 2026-11-04T-Mobile's own SEC filing confirms it received $2.9 billion cash plus $690 million in spectrum for the Grain sale, is entitled to 50% of Grain's further gains on the SpaceX resale, and sets a first-half-2027 expected close for the SpaceX transaction.
- 2026-11-01The FCC's own drone order confirms SpaceX's Grain spectrum transfer is still pending and that the agency expects drones and Starlink Mobile to coexist with them in the band.
- 2026-10-10Reuters reports, citing a Wall Street Journal account of people familiar with the matter, that the spectrum deal is valued at about $8 billion.
what happened
SpaceX agreed to acquire 100% of Grain Management's nationwide 800 MHz spectrum portfolio, up to 14 megahertz of paired low-band spectrum, to expand Starlink Mobile's direct-to-device service, per Via Satellite. Grain acquired the spectrum from T-Mobile in a deal completed in August 2026. SpaceX said the band complements its existing 2 GHz mid-band holdings and will let Starlink Mobile signals penetrate walls and buildings for better indoor coverage. Reuters reported Oct. 9, citing a Wall Street Journal account of people familiar with the matter, that the deal is valued at about $8 billion; SpaceX and Grain have not confirmed the figure. T-Mobile's own Form 10-Q for the quarter ended Sept. 30, filed Oct. 28, confirms it received $2.9 billion in cash plus $690 million in 600 MHz spectrum licenses (about $3.6 billion total) for the August sale to Grain, is entitled to 50% of any further gains Grain realizes above its invested capital and a specified return if Grain's deal with SpaceX closes, and that the Grain-SpaceX transaction, signed Oct. 8, is expected to close in the first half of 2027, per StockTitan and BigGo Finance. The FCC's Oct. 30 final text of a separate 800 MHz drone order (FCC 26-72, ending a 1991 airborne ban on drones in the band) added a footnote, absent from the public draft, citing an Oct. 9 letter from SpaceX satellite policy director Alison Minea and stating the FCC expects drones and SpaceX's planned phone service to coexist in the adjacent 817-824/862-869 MHz band once the transfer is approved, per DroneXL; the transfer application remained pending as of that order.
why it matters
The deal gives Starlink Mobile the low-band coverage layer it was missing to pitch itself as a full nationwide carrier rather than a rural gap-filler, and it lands the same week the FCC approved SpaceX's 15,000-satellite Starlink Mobile constellation. T-Mobile's own filing shows it keeps upside from the SpaceX resale on top of its initial $2.9 billion cash payout, and the confirmed first-half-2027 closing timeline gives operators and resellers a concrete date to plan around rather than the unconfirmed $8 billion estimate alone.
